WATCHSTOX
White-Label Platform Terms of Service Agreement
Accar Watches, LLC d/b/a Watchstox V3
This White-Label Platform Subscription Agreement (this “Agreement” or “Terms of Service”) is between Accar Watches, LLC d/b/a Watchstox (“Watchstox,” “WS,” “we,” “us,” or “our”) and you, the subscriber (“you” or “Subscriber”). It governs your enrollment in and use of the Watchstox white-label platform.
It works together with two other documents that, together with this Agreement, define our entire relationship: (1) the Master Vendor & Wholesale Supply Agreement (the “Supply Agreement”), which governs every watch you purchase from us and sell through your channel, including its Schedule A (White-Label Subscriber Module); and (2) — only if you apply for credit — the Watchstox Credit Application and any related guaranty. By clicking “I Agree” and paying your setup fee, you accept this Agreement and the Supply Agreement (including Schedule A).
1. How these documents fit togetherThree documents govern your relationship with us, each covering a different layer. Reading only one will not tell you everything, so this Section explains what controls what:
- This Agreement — the platform and subscription layer: eligibility, access, plans and fees, your tablet, subscriber user codes, acceptable use, confidentiality (“invisibility”), and how you sell through the platform.
- The Supply Agreement — the goods layer: the purchase and sale of the watches themselves, including pricing, order acceptance, title, risk of loss, shipping, the authenticity guarantee, the limited service warranty, and product returns. Schedule A adds the white-label specifics (seller-of-record status, the prepaid order flow, drop-shipping, and the warranty relay to your customer).
- The Credit Application — applies only if you ask us for credit terms; it governs credit limits and any personal or corporate guarantee.
Order of precedence. For any matter concerning the watches themselves — orders, wholesale pricing, shipping, risk of loss, authenticity, warranty, and product returns — the Supply Agreement controls. For any matter concerning the platform and your subscription, this Agreement controls. A signed written amendment controls over both. Terms capitalized but not defined here (for example, Product, Reservation, Ultimate Consumer, Wholesale Price) have the meaning given in the Supply Agreement.
2. Your role and ours — you sell under your own brand; we supply and stay invisibleYou, or our team on your behalf, set up your white-label web page. Depending on the plan you select, we provide a pre-configured branded tablet, access to our wholesale watch inventory feed, tutorials, and support. You run your own independent business under your own brand. In every sale to your customers you are the seller, not us: you set prices (subject to the floor price in Section 6), collect payment, collect and remit sales tax, handle customer service and returns, and follow the laws that apply to your business. We are independent businesses — nothing here makes us partners, agents, employer and employee, a franchise, or a joint venture, and neither of us may bind the other.
3. Getting approved — apply and prove you are a real U.S. businessYou must run a legitimate U.S. business in an eligible category — licensed jeweler, pawn shop, luxury consignment or estate company, high-end boutique, hotel concierge or gift shop, established reseller or influencer, or licensed independent dealer — regardless of which state you are based in. You apply online, upload a valid, current resale or sales-tax exemption certificate for each U.S. state in which you are required to collect or remit sales tax, and create your own login. Each subscriber may maintain only one account; operating multiple accounts is prohibited. By submitting, you confirm that everything you tell us is true and that you have authority to sign.
We review and decide at our discretion; approval is not guaranteed. A fraudulent, expired, or invalid certificate means denial — or termination without refund if we discover it later. Keep your certificates current and send us updated copies whenever we ask. You get platform access only after your payment clears, never before.
4. Plans, fees, and billing — cancel at any timeYour setup fee is a one-time, non-refundable charge. You store a payment method and authorize us to charge your monthly fee automatically each cycle. We do not store or save your full payment-card information; card processing is handled by our payment processor.
If a payment fails, we will email you. You have five (5) days to fix it before we suspend your account, and ten (10) days before we may cancel it. We do not refund fees on suspension or termination.
Card processing fee. Payments you make to us by credit card for watch invoices are subject to the credit-card processing fee stated in the Supply Agreement (currently 3%; see Supply Agreement §5.2). This fee does not apply to your monthly subscription fee.
5. Your tablet — yours to keep when included with your planIf your plan includes a pre-configured branded tablet, one is provided and it becomes yours the moment you pay your setup fee — we never ask for it back, no matter how the relationship ends, and we ship it to you for free. The tablet is provided “as is”: we make no warranty on the hardware and are not responsible for it once it leaves us.
6. Acceptable use of the platformWhile your subscription is active and in good standing, we grant you a limited, non-exclusive, non-transferable, revocable license to run your white-label watch page. We host this page under your brand; you may link to it from your own website (for example, a “See more watches” tab) or use it as a stand-alone page.
You may not:
- share, resell, or sublicense your access;
- copy, reverse-engineer, or recreate the platform;
- sell our watches below the wholesale price we set and display for each Product on the platform; or
- list our watches or images on any outside marketplace, including Amazon, Chrono24, eBay, Walmart, Craigslist, or Facebook Marketplace. (This restates and expands the marketplace prohibition in Supply Agreement §2.4.)
Wholesale price. The “floor price” is the minimum resale price we set for a Product and make available to you through the platform. We may update it from time to time; the floor price in effect when you list controls.
Non-exclusive catalog. Our wholesale catalog is non-exclusive: the same watches are offered on Watchstox’s own channels and to other buyers (Supply Agreement §2.3). We may modify or withdraw any listing at any time.
Features in development. We are still building some features. If a planned feature is not live yet, your sole remedy is to cancel.
7. Keeping our relationship private — your customers must never learn we existThe entire point of white-label is that your customers never know we exist. You agree not to tell any customer of yours — or the public in a way your customers would see — that Watchstox supplies your inventory or powers your platform, and not to use our name, logo, or marks in anything your customers see. Your invoices, packaging, website, and ads show your brand only. You will not present yourself as our partner, agent, or affiliate, and you will keep our pricing and business information confidential. This obligation supplements the confidentiality provisions of the Supply Agreement (§16).
Referrals are welcome. Nothing here prevents you from referring other prospective businesses to Watchstox or identifying yourself as a Watchstox subscriber for that purpose. This Section restricts only what your retail customers and the general public are told, and does not require us to keep your participation confidential.
8. Selling to your customers — reservation, invoice, payment, fulfillmentAt launch there is no shopping cart. Sales work in this order (the commercial terms are governed by the Supply Agreement and Schedule A):
- (a) Reservation. When your customer commits to buy, you place a Reservation Order through the platform using your subscriber user code (Section 10).
- (b) Confirmation. You receive an email confirming your order has been accepted.
- (c) Invoice and payment. Once you receive your invoice, you have forty-eight (48) hours to pay it, unless a credit agreement is already in place. Being a subscriber does not automatically give you credit — you must apply separately (see the Credit Application). Failure to pay within 48 hours cancels the order. Credit customers have 48 hours to send a shipping label.
- (d) Fulfillment. Payments received and cleared by 1:00 p.m. EST typically ship the same day for next-business-day delivery, subject to carrier performance. Otherwise, once your payment clears, we ship within forty-eight (48) hours excluding weekends and holidays.
- (e) Drop-ship to your customer. You may instead elect to have us drop-ship directly to your customer on your behalf, using your shipping label. Our packaging and paperwork will not identify us. You accept any resulting channel/disintermediation risk (Schedule A, §A.4.3).
- (f) Local pickup or your courier. By prior arrangement, a local subscriber may pick up the watch at our Miami facility or send a courier you arrange and pay for. Risk of loss passes to you on pickup or hand-off to your courier.
For all carrier shipments, you are solely responsible for providing a valid shipping label before fulfillment. We do not ship using our own branding or labels under any circumstances, whether we ship to you or drop-ship to your customer. Orders without a subscriber-supplied shipping label will not be processed or shipped. Risk of loss and transit insurance on outbound white-label shipments are allocated in the Supply Agreement, Schedule A (§§A.5, A.7).
10. Subscriber user codes — your code is your signature; keep it safeWe issue you a unique subscriber user code (and, if applicable, codes for each authorized employee). This code is how we know that a Reservation Order, invoice acceptance, or other action is really coming from you. Treat it like a password: keep it confidential, do not share it outside your business, and do not let any unauthorized person use it. For support, please call 305-379-2801.
You are fully responsible for everything done under your code, whether or not you actually authorized it. If a Reservation Order is placed, an invoice is accepted, or a payment instruction is given using your code, we may rely on it as your action and you are bound by it. We will not investigate whether the person using your code had your permission.
11. The optional rewards program — a $35 gift card on each kept saleYou may opt in to have us send you a $35 physical gift card recognizing the team member who sold the watch, for each completed, paid, and kept sale that you tag to one of your salespeople. The gift card ships with the watch or at store pickup, and is issued to you (not your staff), with the name or initials of the employee who closed the sale. If a tagged sale is later returned, refunded, or charged back, we may offset the corresponding $35 against your next order or invoice. How you reward your team, and any taxes on that, is entirely up to you; we have no employment relationship with your employees.
12. Market offers on subscriber-sourced watches — Pro planIf you are on the Pro plan, you may submit watches for a market offer on behalf of your customers who wish to sell or trade a watch. We aim to respond within thirty (30) minutes during business hours; in all cases we issue an offer no later than forty-eight (48) hours after we receive a complete submission. Submit all offers to Sales@watchstox.com.
A complete submission requires:
- three photographs — front, back, and buckle;
- box and papers, if available; and
- the reference or model number, if available.
To ensure fair access, submissions are limited to five (5) watches per subscriber per calendar day. The limit does not roll over, and submissions that exceed it are not reviewed.
Offers are guidance only. Every offer reflects market conditions at the time of submission and is non-binding until confirmed in writing by both parties. It remains subject to physical inspection and final assessment by our in-house watchmakers upon receipt; condition, authenticity, and completeness as assessed by our watchmakers may affect or void any preliminary offer.
Fair use. We may suspend or revoke this service for any subscriber we reasonably determine is misusing it — including submitting watches not sourced from their own customers, submitting duplicates, or circumventing the daily limit. As confirmed in Section 3, each subscriber may maintain only one account; using multiple accounts or submission methods to exceed the daily limit is prohibited and is grounds for suspension of this service and, under Section 13, of your subscription.
This service is available to active Pro-plan subscribers in good standing only and is not available during any suspension. We may modify or withdraw it at any time on at least fifteen (15) days’ notice. Any purchase or trade resulting from a confirmed offer is governed by the Master Vendor & Wholesale Supply Agreement (Article 11 — Watchstox Purchases and Trade-Ins).
13. Ending your subscription — cancel anytimeYou can cancel any time by emailing sales@watchstox.com; we confirm within 48 business hours. Your setup fee is not refunded and any Founders pricing is forfeited. We may cancel your subscription for inactivity of 90 days. We may terminate immediately, without refund, for causes such as a bad resale certificate, breaching Section 7 (confidentiality), fraud or illegal activity, chargebacks or repeated payment failures, selling below the floor price, listing our watches on outside marketplaces, sharing or misusing your user code, inappropriate or abusive communications with Watchstox personnel, or other conduct that harms our business. Your tablet (if your plan included one) stays yours either way, and any orders already in progress are completed under the Supply Agreement. Suspending platform access does not by itself cancel an in-progress order, and cancelling an order does not by itself terminate your platform access (Supply Agreement §15.3, Schedule A §A.11).
14. Who owns what — we own the platform; you own your brandWe own the intellectual property in our platform, our name and marks, our watch photography (these are NOT stock photos), our catalog and pricing data, and all underlying technology. You receive only the limited license described in this Agreement and in Supply Agreement §13. You keep your own logo and brand assets, and you grant us permission to use them as needed to run your branded page. If you give us feedback or suggestions, we may use them freely. We grant you no rights in any third-party watch brand or mark; your use of those marks is your responsibility (Supply Agreement §13.2 and Schedule A §A.8).
15. Data and privacyAs between you and us, you own and control your customers’ personal data (Schedule A §A.10). Each of us will handle personal data in compliance with applicable law and with the Watchstox Privacy Policy published at watchstox.com/privacy (as updated from time to time), which is incorporated by reference. You are responsible for your own customer-facing privacy notices and consents.
16. Your representations and your indemnity to usYou confirm that you will run your business lawfully, will not misrepresent watches to your customers, will not use the platform for fraud or money laundering, and are not on any U.S. sanctions list. You will cooperate reasonably with legitimate law-enforcement requests. You agree to defend and indemnify us against claims, damages, losses, and legal costs arising from your use of the platform, your dealings with your customers, any goods you list or sell, your staff, your breach of this Agreement, or your violation of any law. This is in addition to the indemnities in the Supply Agreement (§14.1 and Schedule A §A.8). We are not authorized dealers of, and are not affiliated with, any of the watch brands we sell.
17. Our warranty to you, and the limits of our liabilityPlatform. We do not promise the platform will always be available or error-free, and we do not guarantee any level of sales, revenue, or profit.
Watch warranty. We provide the one-year limited service warranty and authenticity guarantee described in the Supply Agreement (Articles 8 and 9). That warranty runs to you, the Subscriber, for twelve (12) months from the date the Product is delivered. It is our warranty, not a manufacturer warranty. Pass-through to your customer. You may extend the authenticity guarantee and the one-year service warranty to your customer on a back-to-back basis — no broader, longer, or different than what we owe you — and we will administer a covered claim through the warranty-relay process in Schedule A (§§A.6–A.7). Your customer has no direct contract with us; covered claims are handled through you. Any broader or additional promise you make to your customer is yours alone and creates no obligation for us.
Limits of liability. To the maximum extent the law allows: for claims relating to the platform or your subscription, our total liability is limited to the monthly fees you paid us in the three (3) months before the claim arose; for claims relating to a watch, the remedies and liability cap in the Supply Agreement (Articles 8, 9, and 14) apply. In no event are we liable for lost profits or other indirect, incidental, or consequential damages.
18. ReturnsAs a Subscriber you have the same 15-day return right as any other buyer, on the same terms (Supply Agreement, Article 10): watches must be received back by us within fifteen (15) calendar days in their original condition and complete with all packaging and papers. Unless we agree otherwise in writing (for example, where we shipped the wrong or a misgraded watch), you arrange and pay for return shipping, insure the watch for its full value, and bear the risk of loss until we receive it. Any buyer’s-remorse, cooling-off, or distance-selling return your customer is entitled to is your sole responsibility and cost; we are not obligated to accept back a non-defective watch already shipped to your customer (Schedule A §A.9).
19. The legal essentials — Florida law, Miami dispute resolution, no class actionsFlorida law governs this Agreement. If a dispute arises, we will first try in good faith to resolve it for thirty (30) days. If that fails, a dispute arising out of or relating to this Agreement or your use of the platform will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party consents to the personal jurisdiction and venue of those courts. You waive the right to bring or join a class action. This matches the Supply Agreement (§18.3), so watch-related and platform-related disputes are heard in the same forum — the Miami-Dade courts.
We may update this Agreement from time to time and will give you at least fifteen (15) days’ notice of material changes by email and/or by posting an updated version; continuing to use the platform after a change takes effect means you accept it. You may not transfer this Agreement without our written consent; we may transfer it. If any part is unenforceable, the rest still applies, and our not enforcing something once does not waive it later. Neither of us is responsible for delays caused by events beyond our reasonable control. Notices to us go to sales@watchstox.com or 111 NE 1st Street, Suite 500, Miami, FL 33132; notices to you go to the email on your account. This Agreement, together with the Supply Agreement (and the Credit Application, if you apply for credit), is our entire agreement and replaces any earlier or informal arrangement. Clicking “I Agree” is your signature.
